Terms of Service

Last updated: October 7, 2026
These Terms of Service ("Terms") are an agreement between you and Estrella Works LLC and its licensee that operates Courtside365 (together, "Courtside365," "we," or "us") for access to and use of the Courtside365 application on iPhone, Android and the web ("the App"). By accessing or using the App, you agree to these Terms and to our Privacy Policy. If you use the App on behalf of a college, university, or athletic program, you confirm you are authorized to accept these Terms for it, and "you" includes that institution. If you do not agree, do not use the App.

1. Eligibility and Invitation-Only Access

The App is provided only to adults (18 or older) who are college coaches, scouts, or athletic staff and who have been invited and given an account by a Courtside365 administrator. There is no public sign-up. Each account is for one named person and may not be shared, transferred, or used by anyone else. Your access may also be governed by a separate subscription or license agreement between your institution and us; if that agreement conflicts with these Terms, that agreement controls on the conflicting point.

2. Account Responsibilities

•
Keep your login credentials confidential and use a strong password.
•
Set a new password the first time you sign in with a temporary password.
•
Tell us promptly at the email below about any unauthorized use of your account or any suspected security problem.
•
You are responsible for activity under your account.
•
Administrators may suspend or close accounts, including for misuse of the App or when you leave your program.

3. Permitted Use

You may use the App only for legitimate college athletic recruiting and scouting for your own program. You agree not to:
•
Copy, scrape, download in bulk, export, sell, publish, or redistribute prospect data outside your own legitimate recruiting activity
•
Share your account or let anyone outside your program see prospect data
•
Use information in the App to harass, stalk, intimidate, or contact inappropriately any student-athlete or her family
•
Attempt to bypass security or access controls, probe for vulnerabilities, or access data outside your role's permissions
•
Reverse engineer, decompile, or interfere with the App, or use bots or automated tools against it
•
Use the App to make decisions about anyone's eligibility for employment, credit, insurance, or housing, or for any purpose covered by the Fair Credit Reporting Act
•
Use the App in any way that violates law or applicable recruiting rules

4. Recruiting Use and Contact Rules

Prospect contact information (phone numbers and email addresses for players, parents or guardians, and their coaches) is provided only to help you recruit. You agree that you will:
•
Use contact information only to recruit the prospect for your own program — never for marketing, fundraising, camps or events run for profit, or any other purpose
•
Follow all NCAA, NAIA, NJCAA, and conference rules that apply to you, including when and how you may contact a prospect, her parents or guardians, and her coaches (for example, permissible contact dates for her graduating class)
•
Contact younger prospects only through the channels your rules allow, such as through her high school or club coach
•
Not share, sell, publish, or copy contact information outside your own staff, and not add it to other databases or mailing lists
•
Comply with laws on calls, texts and email (including the Telephone Consumer Protection Act and CAN-SPAM) when you contact anyone
•
Stop contacting anyone who asks you to, and tell us if you learn information in the App is wrong or that a family wants it removed
You are solely responsible for your own compliance with recruiting rules and contact laws. Misuse of contact information may result in immediate suspension.

5. Confidentiality and Data Protection

Prospect information in the App is confidential and is made available to you only for recruiting. Protect it with reasonable care: do not leave it on shared or unlocked devices, and keep any export you are permitted to make secure and delete it when no longer needed. If you believe prospect information has been exposed through your account or device, tell us right away.

6. Prospect Information

Player and prospect information is compiled by our staff from the sources described in our Privacy Policy and is provided "as is." We make reasonable efforts to keep it accurate and current but do not guarantee the accuracy, completeness, or timeliness of any player information, evaluation, ranking, projection, or recruiting status. Evaluations and projections are opinions. Verify information independently before relying on it for recruiting decisions.

7. Your Content and Feedback

You keep ownership of private notes and other content you enter. You give us permission to store and process it only to provide the App to you. If you send us suggestions or feedback, we may use them without obligation to you.

8. Intellectual Property

The App, including its design, software, evaluations, and the compiled scouting database, is owned by Estrella Works LLC and its licensors and is protected by law. We give you a limited, revocable, non-exclusive, non-transferable right to use the App for your own recruiting while these Terms are in effect. You may not copy, reproduce, or create derivative works from the App or its contents beyond that use.

9. Fees

Any fees for access are set out in a separate agreement or order with your institution. There are no purchases inside the App.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the App is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the fullest extent permitted by law, Courtside365 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or opportunities, arising from your use of or inability to use the App — including recruiting decisions made based on information in the App. Our total liability for any claim relating to the App will not exceed the greater of the amount you or your institution paid us for the App in the 12 months before the claim, or US $100. Some jurisdictions do not allow certain limits, so some of these may not apply to you.

12. Indemnification

You agree to defend and hold harmless Courtside365 and its owners, licensees, officers, and staff from claims, losses, and costs (including reasonable attorneys' fees) arising from your misuse of the App or of prospect information, your violation of these Terms, or your violation of recruiting rules or law.

13. Suspension and Termination

We may suspend or end your access at any time, including immediately for misuse of prospect information. You may stop using the App and delete your account at any time from Account → Delete Account. When access ends, you must stop using and delete any prospect information you exported. Sections that by their nature should survive (including confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) continue to apply.

14. Changes to These Terms

We may update these Terms from time to time. We will change the "Last updated" date above and, for material changes, give notice in the App or by email. Continuing to use the App after changes take effect means you accept them.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Any dispute relating to these Terms or the App will be brought only in the state or federal courts located in Maricopa County, Arizona, and you and we consent to those courts' jurisdiction. Before filing a claim, each side agrees to try to resolve the dispute informally by email for at least 30 days.

16. App Store Terms

If you downloaded the App from Apple's App Store or Google Play: these Terms are between you and us, not Apple or Google, and we — not Apple or Google — are responsible for the App and its content, maintenance, and support. Apple has no obligation to provide maintenance or support. If the App fails to meet an applicable warranty, you may notify Apple, which may refund any purchase price; to the extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing claims relating to the App, including product liability, legal or regulatory compliance, consumer protection, or intellectual property claims. You confirm you are not in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your use must also follow the app store's own terms.

17. General

These Terms, the Privacy Policy, and any separate agreement with your institution are the entire agreement about the App. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, sale, or license of Courtside365. We are not liable for delays or failures caused by events beyond our reasonable control.
